1. Introduction & Acceptance
Welcome to Plantly (“Plantly”, “we”, “us”, or “our”), a peer-to-peer online marketplace for buying and selling plants, seedlings, seeds, and related gardening items within local communities.
The Plantly platform is operated by URUNDEAD LABS S.R.L., a Romanian limited liability company registered with the Romanian Trade Register under number J2026034271001, fiscal identification number CUI 54762154, with registered office at Strada Pitar Moș, Nr. 27, Etaj 5, Ap. 17 (La Cabinet Avocat Stanciu-Burileanu Bogdan), Sectorul 1, București, 010452, România. References to “Plantly”, “we”, “us”, or “our” in these Terms mean URUNDEAD LABS S.R.L. as the operator of the platform.
By creating an account or using any part of the Plantly platform (website, mobile interfaces, APIs), you (“User”, “you”) agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy, which is incorporated here by reference. If you do not agree, you must not use Plantly.
2. Eligibility
- You must be at least 18 years old to register and use Plantly.
- You must have the legal capacity to enter into a binding agreement in your jurisdiction.
- You may not use Plantly if you have previously been suspended or removed from the platform.
- By registering, you confirm that all information you provide is accurate, current, and complete.
3. Account Registration & Security
To access most features you must create an account. You are responsible for:
- Choosing a strong, unique password and keeping it confidential.
- All activity that occurs under your account.
- Notifying us immediately at legal@plantly.ro of any unauthorised access.
- Ensuring your contact details (email, address) remain accurate and up to date.
Plantly will never ask for your password by email. You may not share, sell, or transfer your account to another person.
4. The Plantly Marketplace
Plantly provides a platform connecting buyers and sellers of plants and related items. Plantly is not a party to any transaction between users. We do not own, create, sell, resell, inspect, or deliver any listings. Each seller is solely responsible for the accuracy of their listings, the plants they sell, and fulfilling their obligations to buyers.
Plantly does not provide escrow, payment processing, shipping, or buyer/seller protection unless explicitly stated. Any disputes between buyers and sellers must be resolved directly between the parties.
5. Seller Obligations
As a seller on Plantly you agree to:
- List only items you legally own and have the right to sell.
- Provide accurate, truthful descriptions, prices, and photos for every listing.
- Comply with all applicable local, national, and international plant trade laws, including phytosanitary certificates where required.
- Clearly disclose any known pests, diseases, or defects affecting the plant.
- Pack and ship items with appropriate care to ensure safe delivery if shipping is offered.
- Communicate with buyers promptly and honour agreed transactions.
- Charge and remit any applicable taxes (VAT, sales tax) as required by your jurisdiction.
6. Buyer Obligations
As a buyer you agree to:
- Pay the agreed price promptly once a purchase is confirmed.
- Inspect plants upon receipt and raise any issues with the seller in good faith.
- Comply with plant import rules applicable in your country or region.
- Not use Plantly messaging to harass, threaten, or spam sellers.
7. Prohibited Items & Activities
The following are strictly prohibited on Plantly:
- Invasive or regulated species — any plant species classified as invasive or restricted under EU Regulation 1143/2014 or applicable national law.
- CITES-listed species — plants protected under the Convention on International Trade in Endangered Species (Appendices I, II, or III) without the required documentation.
- Counterfeit or mislabelled plants — deliberately misrepresenting a plant's species, origin, or condition.
- Illegal drugs or controlled substances — including plants cultivated or sold for narcotic purposes.
- Stolen plants or property.
- Spam, scams, and fraudulent listings — including duplicate listings, ghost listings, or listings for items not in your possession.
- Harassment and abuse — using the messaging or listing system to harass, threaten, or discriminate against other users.
Violation may result in immediate account suspension and reporting to relevant authorities.
8. User-Generated Content
By uploading photos, descriptions, messages, or other content (“Content”) to Plantly, you grant Plantly a non-exclusive, worldwide, royalty-free licence to use, display, and distribute your Content solely for operating and promoting the platform.
You retain ownership of your Content. You represent that you own or have all necessary rights to the Content you upload, and that it does not infringe any third-party intellectual property rights.
Plantly may remove any Content that violates these Terms at its sole discretion, without prior notice.
9. Intellectual Property
The Plantly name, logo, design, code, and all platform content produced by Plantly are the intellectual property of Plantly and its licensors. You may not reproduce, distribute, modify, or create derivative works without written permission.
10. Privacy & Data Collection
Your use of Plantly is subject to our Privacy Policy, which explains what personal data we collect, why, how we use it, and your rights under the General Data Protection Regulation (GDPR) and applicable national law.
By using Plantly, you consent to the collection of usage data including page views, search queries, listing interactions, and in-app events as described in our Privacy Policy. This data is used to improve the platform and personalise your experience.
11. Disclaimers
Plantly is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Plantly disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
Plantly does not warrant that: (a) the platform will be uninterrupted or error-free; (b) listings are accurate, complete, or reliable; (c) plants purchased through the platform will meet buyer expectations.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Plantly and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profit, revenue, data, or goodwill arising out of or in connection with your use of the platform.
Plantly's total aggregate liability to you shall not exceed the greater of (a) €50 or (b) the amount you paid to Plantly (if any) in the twelve months preceding the claim.
13. Indemnification
You agree to indemnify and hold Plantly harmless from any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of: (a) your use of the platform; (b) your listings or transactions; (c) your violation of these Terms; or (d) your infringement of any third-party rights.
14. Suspension & Termination
Plantly may suspend or terminate your account at any time, with or without notice, for any violation of these Terms, fraudulent activity, or behaviour that harms other users or the platform.
You may close your account at any time from the account settings page. Upon closure, your listings will be removed and your personal data will be handled in accordance with our Privacy Policy.
15. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Romania and, where applicable, European Union law. Any disputes shall first be attempted to be resolved by good-faith negotiation. Unresolved disputes shall be subject to the exclusive jurisdiction of the courts of Romania.
EU consumers may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/odr.
16. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email and/or by a prominent notice on the platform. The “Effective” date at the top of this page reflects the date of the latest revision.
Continued use of Plantly after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree, you must stop using Plantly and may close your account.
In this revision (v1.1, effective June 2, 2026): the platform’s operator has been formally identified as URUNDEAD LABS S.R.L. (see §1). No User obligations or rights have changed; this revision adds the corporate identification required under Legea nr. 365/2002 art. 5 and the General Data Protection Regulation art. 13.
